These Terms of Service ("Terms") are a legal agreement between you ("you," "your,"
or "Customer") and LedgerMCP, LLC ("LedgerMCP," "we," "us," or "our") governing
your access to and use of the LedgerMCP bookkeeping software, website, API, and
related services (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms and to our
Privacy Policy. If you do not agree, do not use the Service.
1. The Service
LedgerMCP provides double-entry bookkeeping software that you, and AI agents you
authorize, can use to record and manage financial information. The Service may
connect to your financial accounts through Plaid at your direction and may offer
paid features (such as live bank feeds).
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract. You are
responsible for the accuracy of your account information, for maintaining the
security of your login and any API keys you generate, and for all activity that
occurs under your account, including activity by AI agents you connect.
Authentication is passwordless via one-time email codes; keep access to your
email secure. You may generate and revoke API keys, and disconnect OAuth
connected apps, at any time; you are responsible for keys and connections until
revoked.
3. Your Data and License
You retain all rights to the data you submit to the Service ("Customer Data").
You grant LedgerMCP a limited license to host, process, and transmit Customer
Data solely to provide and improve the Service and as described in our Privacy
Policy. You represent that you have the right to submit the Customer Data and to
authorize any connected financial accounts.
You may export your Customer Data at any time.
4. Financial Data and Plaid
If you connect a financial account, you do so through Plaid, and your use of
Plaid is subject to Plaid's applicable end-user terms and privacy policy. You
authorize LedgerMCP to access and use financial account information obtained
through Plaid to provide the Service. You are responsible for the accuracy of
account connections and for reviewing the resulting bookkeeping records.
5. AI Agents
The Service is designed to be operated by AI agents you connect via an API key
or an OAuth authorization you grant. Any AI agent you authorize acts on your
behalf and within the access you provide (API keys may be full or read-only;
OAuth connections have full account access). **You are responsible for the
actions of agents you connect, including the transactions and changes they
make.** AI agents are provided by third parties (e.g., Anthropic, OpenAI) under
those parties' own terms; LedgerMCP does not control and is not responsible for
third-party agents. Every agent change is recorded in an audit log and financial
postings can be reversed.
6. Acceptable Use
You agree not to: (a) use the Service unlawfully or in violation of these Terms;
(b) attempt to gain unauthorized access to the Service, other users' data, or
our systems; (c) interfere with or disrupt the Service, including via excessive
or abusive request volume; (d) reverse engineer or circumvent security or usage
controls except as permitted by law; (e) upload malicious code; or (f) use the
Service to violate the rights of others.
7. Paid Features and Billing
Certain features (such as live bank feeds via Plaid) are offered on paid plans
priced by the number of connected accounts. Fees, plan limits, and billing terms
are presented in the Service. Unless stated otherwise, fees are billed in
advance, are non-refundable except as required by law, and paid plans renew
until cancelled. We may change pricing prospectively with notice.
Free and paid plans are subject to reasonable usage limits (such as caps on the
number of businesses and, on free plans, stored transactions) presented in the
Service. We may enforce these limits; when you reach one, the Service will tell
you how to raise it.
8. Not Financial, Tax, or Accounting Advice
The Service is a software tool. LedgerMCP is not an accountant, auditor, tax
advisor, or fiduciary, and the Service does not constitute financial, tax, legal,
or accounting advice. You are responsible for the accuracy and completeness of
your books and for consulting qualified professionals as needed. You are
responsible for reviewing any work performed by AI agents.
9. Third-Party Services
The Service integrates with third parties (including Plaid, AI-agent providers,
and infrastructure vendors). We are not responsible for third-party services,
and your use of them may be subject to their separate terms.
10. Intellectual Property
The Service, including its software, design, and content (excluding Customer
Data), is owned by LedgerMCP, LLC and protected by intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable right to use
the Service in accordance with these Terms. All rights not expressly granted are
reserved.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT
THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL ALWAYS BE
ACCURATE OR AVAILABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERMCP, LLC AND ITS OWNERS AND
AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT
EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE
MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S.
DOLLARS ($100).
13. Indemnification
You agree to indemnify and hold harmless LedgerMCP, LLC and its owners and
affiliates from any claims, damages, liabilities, and expenses (including
reasonable attorneys' fees) arising out of your Customer Data, your use of the
Service, your connected agents, or your violation of these Terms or applicable
law.
14. Termination
You may stop using the Service at any time and request account deletion as
described in the Privacy Policy. We may
suspend or terminate your access if you violate these Terms, create risk or
legal exposure, or as necessary to protect the Service or other users. On
termination, your right to use the Service ends; you may export your data before
termination, and we will handle remaining data as described in the Privacy
Policy.
15. Changes to These Terms
We may modify these Terms from time to time. We will post the updated version
with a revised "Last updated" date and, where appropriate, provide additional
notice. Your continued use of the Service after an update constitutes acceptance
of the revised Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard
to its conflict-of-laws rules. The exclusive venue for any dispute not subject to
arbitration will be the state or federal courts located in Florida,
and you consent to their jurisdiction.
17. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between
you and LedgerMCP regarding the Service. If any provision is held unenforceable,
the remaining provisions remain in effect. Our failure to enforce a provision is
not a waiver. You may not assign these Terms without our consent; we may assign
them in connection with a merger, acquisition, or sale of assets.
